World Bank

Partners Leon Nuñez and Ernesto Rizo advised the World Bank regarding the organization and structure of a new state-owned financial institution. The analysis of this case involved the harmonization of complex legislation recently issued that tries to organize a new financial institution. This institution will coordinate the use of public finance to the productive sector. This case involved the analysis of financial and constitutional legislation.

Mining Company

Rolando Zambrana performed a due diligence on 26 mining concessions owned by one of the largest mining companies of Nicaragua (gold production of US$50 million p.a.). The task included complex registry investigations and thorough examination of the target’s immovable properties, mining operations, material contracts, environmental and labor liabilities, as well as its regulatory permits, licenses and authorizations.

Microfinance Bank

Partner Ernesto Rizo advised foreign investment partners in the capitalization process and capital restructuring of a Microfinance Bank in Nicaragua. This transaction involved various law firms in various jurisdictions, since parties from all over the world were stakeholders in the Bank. It also involved complicated legal and financial products, seldom used in the country.

Corazon Gold

Partner Rolando Zambrana advised Corazon Gold Corp. in a reverse takeover that was executed in Toronto, related to the ownership of a mining concession in Nicaragua and several surface rights. This transaction involved setting up two corporations in Nicaragua, documenting the option to acquire one mining concession and several immovable properties, structuring a joint venture with a small miners cooperative, obtaining registrations and permits, and advising on local agreements necessary for the reverse takeover.

Covington & Burling

Ernesto Rizo and Magda Blandino assisted Covington & Burling in the execution of a due diligence for the acquisition of the Nicaraguan subsidiary of a multinational corporation that finds and produces oil and natural gas, and manufactures and markets fuels and lubricants. The task involved the examination of the subsidiary records, material contracts, real estate, pending litigation and regulatory compliance.

German manufacturer

Rolando Zambrana advised a German manufacturer in the divestiture of its Nicaraguan subsidiary, acquired by the Chilean Kauffman Group, who also became the new distributor of Mercedes-Benz, Chrysler, Jeep, Freightliner and Dodge in Costa Rica. Nuñez Rizo Zambrana | Abogados will continue to advise Kaufmann Group in its operations in Nicaragua.
